These Terms of Use (“Terms”) govern your access to and use of the Sunstone Logistics Systems platform, APIs, and related services (“Service”). By registering for or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Service.

1. Accounts & Access

You must provide accurate, complete information when creating an account.
You are responsible for maintaining the confidentiality of your credentials and all activity under your account.
Promptly notify us of any unauthorized use.

2. License Grant

Subject to these Terms, Sunstone grants you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business operations.

3. User Obligations

You agree not to:

Reverse engineer, decompile, or disassemble the Service
Transmit malware, spam, or other harmful code
Interfere with the security or integrity of the Service
Use the Service for unlawful purposes or to infringe third-party rights

4. Intellectual Property

All intellectual property rights in the Service (including software, logos, designs, and documentation) are owned by Sunstone or its licensors. No rights are granted to you except as expressly set forth in these Terms.

5. Fees & Payment

Fees for paid plans are invoiced in advance according to your selected billing cycle.
All fees are non-refundable except as required by law.
Sunstone may adjust fees upon 30 days’ prior notice.

6. Disclaimers

AS-IS: The Service is provided “as is” and “as available.”
NO WARRANTIES: We disclaim all warranties, whether express or implied, including merchantability and fitness for a particular purpose.

7. Limitation of Liability

To the fullest extent permitted by law, Sunstone and its affiliates will not be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data. Our aggregate liability for any claim arising under these Terms will not exceed the fees you paid in the 12 months prior to the event.

8. Indemnification

You agree to indemnify and hold harmless Sunstone and its officers, directors, and employees against any third-party claims arising from:

Your misuse of the Service
Your breach of these Terms
Your violation of applicable laws

9. Termination

By You: You may close your account at any time via your account settings.
By Sunstone: We may suspend or terminate your access for breach of these Terms or prolonged inactivity.
Effect: Upon termination, all rights granted to you under these Terms will cease.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of South Africa. Any dispute arising hereunder will be subject to the exclusive jurisdiction of the courts of Johannesburg, South Africa.

11. Changes to Terms

We may update these Terms from time to time. We’ll post the revised Terms with a new “Last Updated” date. Continued use of the Service after changes constitutes your acceptance.
